1. General Provisions
1.1. These Terms and Conditions of Service (hereinafter referred to as the "Terms") govern the relationship between SIA Estate Base, reg. No. 40203765991, registered office: Miera iela 87A-9, Rīga, LV-1013, Republic of Latvia (hereinafter referred to as "EstateBase," "Operator," or "we") and any person using the EstateBase digital platform, including the website, mobile applications, and associated AI Agent (hereinafter collectively referred to as the "Platform"), as well as any services, tools, and features available through the Platform (hereinafter referred to as the "Services").
1.2. Any action by the User (hereinafter referred to as the "User" or "You") using the Platform, including accessing the AI Agent, browsing pages, using the search function, registering an account, or otherwise, constitutes full and unconditional acceptance of these Terms. The User thereby confirms that they have fully read these Terms, understand their content, and agree to comply with them.
Before using Platform features that require registration and account creation, the User must additionally confirm their agreement with the Terms by checking the appropriate box in the interface or by clicking the "Register" / "I Agree" button (or a similar button), if provided by the Platform interface.
If the User disagrees with these Terms in whole or in part, they must immediately cease all use of the Platform and Services. Use of the Platform without agreement to these Terms is prohibited.
1.3. Certain sections of the Platform and/or individual Services, including cooperation with Partners (Section 9), may be governed by additional terms, special provisions, or separate agreements. In the event of any conflict between such special terms and these Terms, the special terms shall prevail with respect to the relevant section and/or Service, unless expressly provided otherwise therein.
1.4. The processing of Users' personal data is governed by a separate document – the Privacy Policy [https://estatebase.ai/policies/privacy-policy], which is available on the Platform.
1.5. The relationship between the Operator and Users, as well as the activities of the Platform, are governed by the laws of the Republic of Latvia. The dispute resolution procedure and jurisdiction are defined in Section 20.5.
1.6. With respect to certain functions of the Platform, the Operator acts as an intermediary service provider within the meaning of Regulation (EU) 2022/2065 on the Digital Services Act (hereinafter referred to as the "DSA"), including hosting services for content posted by Partners and other Users (Section 10). The relevant obligations of the DSA applicable to the Operator are set out in Section 11 of these Terms. The Consumer Rights Protection Centre (PTAC) oversees the Operator's compliance with applicable DSA requirements in the Republic of Latvia.

3. Status and Nature of the Platform
3.1. EstateBase is a digital information and search platform designed to search, structure, compare, and analyze information about real estate properties using AI Agent functionality.
EstateBase is not a seller, buyer, landlord, tenant, developer, appraiser, lender, credit intermediary, or party to a transaction between the User and a third party. EstateBase also does not act as an agent, broker, or representative of the User or the person who has posted the property, and does not have the authority to enter into transactions, negotiate their terms, or assume obligations on behalf of such persons. Any transaction regarding a real estate property is concluded directly between the User and the relevant third party. EstateBase is not a party to such a transaction and does not control its conclusion, execution, or consequences.
3.2. Information provided by the Platform and the AI Agent, including answers to questions, valuations, analyses, and recommendations, is for informational purposes only and does not constitute legal, financial, tax, investment, lending, or professional real estate appraisal advice. Before making any legally or financially significant decisions, the User is advised to consult with a suitably qualified professional.
4. Description of Services and AI Agent Functionality
4.1. The Platform Services include, but are not limited to: (a) searching for and selecting real estate properties based on User requests via a dialogue with the AI Agent; (b) generating an approximate automated valuation (AVM) and other analytical materials based on publicly available data; (c) posting real estate listings by Users and Partners. The Operator reserves the right to supplement, modify, or discontinue certain functions of the Services at any time in the manner specified in Section 13.
4.2. The AI Agent's responses are generated fully automatically using artificial intelligence technologies, without prior review, verification, editing, or other human intervention in the response generation process before it is displayed to the User, including by processing information from Sources in real time. The User understands and agrees that the AI Agent's responses may contain inaccuracies, discrepancies, or outdated information. This may be due to errors or untimely data updates, including on Sources, typos by authors, and the specifics of response generation by artificial intelligence algorithms. The AI Agent's responses and other automatically generated information are provided "as is" and "as available." They are for informational purposes only, to the extent permitted by applicable law, and do not guarantee absolute accuracy, completeness, or timeliness. This provision does not limit the mandatory rights of Consumers provided by applicable law.
4.3. The automated valuation of a property generated by the AI Agent (AVM) is solely the result of an automated statistical model based on available market data and is not a certified real estate valuation report prepared in accordance with LVS 401 or the International Valuation Standards (IVS), and does not replace the opinion of a certified real estate appraiser. The User is prohibited from presenting AVM data to third parties as an official or certified valuation report, or using it in place of a professional valuation report in cases where applicable law, a credit institution, a court, or other authority requires a certified appraiser's opinion, including for mortgage lending, litigation, or tax purposes.
4.4. The information provided by the AI Agent is intended for preliminary assessment and should not be considered the sole basis for making legal, financial, investment, or other material decisions. Before concluding a transaction or making any other material decision, the User is advised to verify material information in the relevant Source and/or official register and, if necessary, consult with an appropriate specialist.
4.5. The User's interaction with the AI Agent does not create an advisor, consultant, agent, broker, or other fiduciary relationship between the User and the Operator. The AI Agent's responses, statements, calculations, and wording, including any indications of prices, discounts, rental/sale terms, availability, or percentage of match, are for informational purposes only and do not constitute an offer, public offer, legal guarantee, or promise on the part of the Operator. They do not impose any legal or financial obligations on the Operator to provide the stated terms or properties. The property's match to the User's request is a subjective, automated assessment by the AI model and does not guarantee the actual compliance of the property with all physical, legal, or technical expectations of the User. All final terms of the transaction, current prices, and availability of properties are subject to verification by the User directly with the person who posted the ad when accessing the relevant Source.
5. Information Sources and Data Accuracy
5.1. To generate informational and reference responses to User requests, the AI Agent and the Platform use search, processing, structuring, and aggregation functions in real time at the time the User requests the AI Agent. The AI Agent performs short-term searches of open data without creating permanent full copies of third-party web pages.
The Platform uses information obtained from various publicly available Internet Sources, as well as data directly posted on the Platform by Partners and Users. The composition, volume, availability, and frequency of updating of such information may vary depending on the specific Source. A list of the main Sources used by the Platform is published on the Platform and may be updated by the Operator from time to time. The Platform uses information within the limits permitted by applicable law.
5.2. The Operator is not the copyright holder of content obtained from Sources (photographs, advertisement texts, and other materials) and does not claim any rights to such content. All rights to the original content are reserved by the respective copyright holders—advertisers, agencies, Sources, or other parties. The Platform provides the User with links to the original web pages of the Sources so that the User can view the original ad and independently contact the person who posted the relevant content or their representative.
5.3. The information displayed on the Platform reflects the data available in the relevant Source at the time the information is requested. The Operator does not perform preliminary or individual verification of each property or ad and does not guarantee the completeness, accuracy, currency, or reliability of the information obtained from Sources. This data may change on the Source side after it is displayed to the User by the AI Agent, including due to the actual sale or lease of the property, or changes in the property's characteristics.
5.4. The Operator reserves the right to temporarily limit, suspend, or terminate the use of individual Sources, including for contractual, technical, or legal reasons, without prior notice to Users.
6. User Registration and Account
6.1. Use of certain Platform functions, including posting ads and properties, saving search history, generating personalized offers, and receiving notifications, requires account registration. Registration and authorization are possible using an email address, as well as third-party authentication services, including "Sign in with Google," "Sign in with Apple," and other services enabled by the Operator.
6.2. The Platform is intended for use by adults (18 years of age and older). By registering on the Platform, the User represents and warrants that they have reached the required age and possess the full legal capacity to enter into and be bound by these Terms.
6.3. The User is obligated to provide accurate information upon registration, ensure the security and confidentiality of their account login information, including their password, and not disclose such information to third parties. The User is responsible for the security of their login information and all actions performed using their account, except in cases where unauthorized access was not the User's fault and the User promptly notifies the Operator.
6.4. The User has the right to delete their account at any time using the method provided in the Platform interface or by contacting the Operator. The consequences of account deletion for the User's personal data are described in the Privacy Policy.
7. Platform Terms of Use
7.1. The User undertakes to use the Platform in good faith, in accordance with these Terms, applicable laws of the Republic of Latvia, and the purpose of the Services.
7.2. When using the Platform, the User is prohibited from:
-
using the Platform for illegal purposes or in a manner that violates the rights or legitimate interests of the Operator or third parties;
-
attempting to gain unauthorized access to the Platform, the Platform Database, the accounts of other Users, or the Operator's information systems;
-
using automated means and technologies to systematically extract, collect, copy, index, or otherwise obtain in bulk data or Content displayed on the Platform without the prior written consent of the Operator, except in cases expressly provided for by applicable law;
-
copying, reproducing, distributing, publishing, or otherwise exploiting for commercial purposes any substantial portion of the Platform's content, the Platform Database, or Content, without the Operator's prior written consent (Section 8.3);
-
use the AI Agent's functionality in a manner intended to abuse the Service, including mass automated query generation, artificial load generation, or otherwise excessive consumption of the Platform's computing Sources;
-
attempt to circumvent or disable the Platform's technical limitations, including query rate limits, security and anti-bot mechanisms, access restrictions, or other technical security measures;
-
upload, transmit, or distribute through the Platform malicious software or content that violates the rights of third parties or applicable personal data protection, consumer protection, or other applicable laws;
-
provide personal data of third parties, including special categories of personal data, in requests to the AI Agent unless the User has the appropriate legal basis for providing and processing such data in accordance with applicable law;
-
reverse engineering, decompiling, disassembling, or otherwise extracting the Platform's Source code, system instructions, or other non-public technical components of AI Agents, except as expressly permitted by applicable law;
-
use bots, scripts, or other automated means for the mass collection of AVM assessments, automated analysis results, analytical data, or other Platform Content without the Operator's prior written consent;
-
use the Platform, the Platform Database, or the Platform Content for the systematic extraction and analysis of data, training, testing, or development of artificial intelligence systems, unless such use is authorized by the Operator.
7.3. In order to ensure security, stable operation, and the fair distribution of computing Sources, the Operator reserves the right to establish and change technical limits on the number, frequency, and volume of requests to the AI Agent, including applying temporary or permanent restrictions to individual Users, categories of Users, or methods of using the Platform.
7.4. The Operator reserves the right to apply the restrictions provided in this section without prior notice if necessary to prevent abuse, ensure the security of the Platform, or protect its information systems.
7.5. The User is responsible for the accuracy of the data provided and the content of any Content they independently enter into the AI Agent, upload, or otherwise provide through the Platform, including the existence of the necessary legal grounds for providing personal data. The Operator does not conduct preliminary verification of such information and data, except in cases where such verification is expressly required by applicable law or the functionality of the Platform.
7.6. Violation of the rules established by this section of the Terms may be grounds for the application of technical restrictions, suspension, or termination of the User's access to the Platform in accordance with Section 17 and applicable law.
8. Intellectual Property
8.1. The Platform, including its structure, design, software, algorithms, AI Agent functionality, trademarks, logos, trade name, and other elements developed or used by the Operator, constitute the Operator's intellectual property or are legally used and protected by applicable intellectual property laws. Without the Operator's prior written consent, the User is not permitted to copy, reproduce, distribute, modify, decompile, or otherwise use such objects outside the normal use of the Platform as provided for in these Terms.
8.2. The Platform's database, including its structure, systematization, selection, organization, and content, is owned by the Operator or is legally used by it. Without the Operator's prior written consent, the User may not extract, reuse, systematically copy, or otherwise use a substantial portion of the Platform's Database, or systematically or repeatedly extract and use non-essential portions of the Database.
8.3. Providing the User with access to the AI Agent and the responses it generates does not transfer any rights to the Platform, Database, software, algorithms, system instructions, models, or other Operator technologies and materials to the User. The AI Agent's responses may be based on information from Sources and may contain materials copyrighted by third parties.
8.4. The Platform contains links to third-party internet resources that are Sources of relevant information and are provided to enable the User to access the original Source and review the original information. The Operator does not control the content of such resources and is not responsible for their availability, content, the accuracy of the information posted therein, or the actions of the relevant third parties.
9. Partner Program and Cooperation with Agencies
9.1. In addition to providing Services to Users, the Operator collaborates with professional participants in the real estate market – real estate agencies, individual agents, and developers.
9.2. Partner status is acquired on the basis of a separate cooperation agreement concluded between the Operator and the relevant party. These Terms apply to Partners to the extent not regulated by such separate agreement, which takes precedence in accordance with Section 1.3.
9.3. The Partner must possess all licenses, permits, and powers necessary to legally operate in the real estate market in the relevant jurisdiction and undertakes to provide the Operator with supporting documents upon request, including for verification purposes required by applicable law.
9.4. Partner status and the right to publish Partner Content on the Platform are granted after completing the verification process. The Operator reserves the right to refuse, suspend, or terminate Partner status in accordance with the procedure set forth in Section 17, including if the Partner provides false information about their legal status or authority.
10. User Content and Partner Content
10.1. The rights to User Content and Partner Content are retained by the respective User, Partner, or other copyright holder who posted such content, unless otherwise expressly provided in these Terms.
10.2. By posting or transmitting User Content to the Operator, the User grants the Operator a non-exclusive, royalty-free, worldwide license to reproduce, store, technically process, adapt, and display such content solely to the extent necessary for the operation, provision, security, and development of the relevant Services, including posting content on the Platform, indexing it, and using it to generate AI Agent responses.
10.3. By posting or transferring Partner Content to the Operator, the Partner grants the Operator a non-exclusive, royalty-free, worldwide license to reproduce, store, process, adapt, display, distribute, and otherwise use such content to the extent necessary to provide and promote the Services, including:
(a) posting Partner Content on the Platform and displaying it in search results and AI Agent responses;
(b) indexing, structuring, and technically processing the content;
(c) creating derivative works based on it, including landing pages, PDF presentations, structured object cards, analytical and other informational materials;
(d) distributing and displaying such content on the Platform and in the Operator's materials and channels used to promote the Platform and the relevant properties;
(e) using the content in marketing and advertising materials related to the Platform, the relevant properties, or the Partner's services.
This license is granted for the duration of the placement of the relevant Partner Content on the Platform and for a reasonable period after its removal, necessary to cease the use of materials previously created based on it.
10.4. By posting User Content or Partner Content, the respective person confirms and warrants that they have all necessary rights and authority to grant the Operator the license provided for in this section and that the Operator's use of such content in accordance with these Terms does not violate the rights of third parties.
10.5. The Operator reserves the right, at its sole discretion, to refuse to post, reject, restrict access to, or remove any User Content or Partner Content that violates these Terms, the rights of third parties, or applicable law, including on the basis of a reasoned request (notice) received in accordance with Section 11, or based on the Platform's objective internal moderation criteria. Such decisions are made and justified in accordance with the procedure established in Section 11.3 of these Terms.
10.6. In the event that third parties or regulatory authorities file claims, suits, or demands against the Operator arising from the violation of third-party rights by posted content or the inaccuracy of the warranties provided for in paragraph 10.4: (a) the Partner undertakes to compensate the Operator in full for documented losses, including reasonable legal defense costs, incurred as a result of such violation; (b) the User-Consumer shall be liable and shall compensate the Operator for any direct damages caused to the extent permitted by applicable consumer protection legislation of the Republic of Latvia and the Civil Law. This paragraph does not exclude or limit the Operator's liability in the cases provided for in Section 14.3.
10.7. The Operator is not a party to the purchase, lease, or other agreement concluded between the User and the person who posted the relevant advertisement on the Platform and bears no obligations or liability under such agreements. Posting an advertisement on the Platform does not in itself create a contractual relationship between the Operator and the User or the person who posted the advertisement with respect to the relevant real estate property.
11. Copyright Holder Appeals, Illegal Content, and DSA Compliance
11.1. If any person believes that Content posted on the Platform infringes their copyright, database rights, trademark, personal data protection rights, or other legally protected rights, they may send a reasoned appeal to the Operator via the email address specified in Section 11.5. The appeal must include: (a) the complainant's contact information and, if available, proof of their rights; (b) a description of the alleged infringement; (c) an exact link or other information allowing the identification of the relevant content on the Platform. The Operator reserves the right not to consider appeals and complaints submitted anonymously or that do not allow the complainant to be identified.
A similar procedure applies to appeals from individuals regarding personal data displayed on the Platform as part of third-party advertisements.
11.2. With respect to Content posted by Partners and Users and publicly distributed by the Platform, the Operator provides a mechanism by which any person may notify the Operator of the presence on the Platform of specific information that they consider to be Illegal Content. The notification shall be sent to the email address specified in Section 11.5 and must include: (a) a sufficiently precise justification for why the relevant information is considered Illegal Content; (b) a precise indication of the electronic location of such information (a link or other means of unambiguous identification), and, if necessary, additional information allowing its identification; (c) contact information for the person who sent the notification.
The Operator shall, without undue delay, send the notifier an acknowledgment of receipt of the notification and, thereafter, without undue delay, notify the notifier of the decision made regarding the notification.
11.3. If the Operator, in connection with Illegal Content or a violation of these Terms, limits the visibility of a specific item or other Content, removes it, blocks access to it, suspends or terminates the provision of Services to a Partner or User, or otherwise restricts the distribution of the relevant Content, the Operator will, without undue delay, provide the affected Partner or User with a decision that includes: (a) the legal or contractual basis for the decision; (b) the factual circumstances that served as the basis for the decision, including, if applicable, an indication that the decision was made based on a notice under paragraph 11.2; (c) information about the use of automated means in making the decision, if any.
11.4. The User or Partner has the right to appeal the Operator's decision made in relation to their Content, account, or Partner status, if such decision is related to the removal, restriction of availability, blocking, or other restriction of Content or the use of the Platform. A complaint must be submitted to the email address specified in Section 11.5, marked "Complaint," within 30 (thirty) calendar days of receipt of notification of the relevant decision.
The complaint will be reviewed within a reasonable time, not exceeding 30 (thirty) calendar days of receipt, taking into account the nature and complexity of the matter. If necessary, this period may be extended with notice to the complainant. The decision on the complaint will be provided to the User or Partner, stating the outcome of the review and, if applicable, the reasons for the decision. The Operator reserves the right not to consider repeated or identical requests/complaints from individuals who regularly submit knowingly unfounded or identical complaints.
If the decision was made using automated means, information about this will be provided to the User or Partner to the extent required by applicable law. This procedure does not limit the User-Consumer's right to appeal to the PTAC (Section 20.5) or other out-of-court dispute resolution bodies.
11.5. For all questions specified in this section, including notifications of Illegal Content, copyright holder inquiries, and complaints, the Operator can be contacted by email at info@estatebase.ai.
12. Transparency in the Use of Artificial Intelligence
12.1. The Operator ensures transparency regarding the use of artificial intelligence systems within the Platform in accordance with applicable law, including Regulation (EU) 2024/1689 on artificial intelligence (AI Act), as applicable to the Operator as a provider and/or user of the relevant AI systems.
12.2. The User is expressly informed that the AI Agent is an automated system and that its responses are generated without human intervention, unless otherwise expressly stated in a specific interaction. Responses and analytical materials generated by the AI Agent (in particular, automated valuation (AVM), automatically generated descriptions, annotations, and query compliance assessments, as well as other automatically generated conclusions) are marked on the Platform as being generated using artificial intelligence to the extent technically supported by the Platform interface and are subject to separation from content posted by Users and Partners.
12.3. The AI Agent functionality is not intended to make fully automated decisions that have legally significant consequences for the User or third parties, without the possibility of meaningful human participation. Any decisions affecting the provision of Services to a specific User or Partner and that could significantly affect their rights and interests (in particular, suspension or termination of access as described in Section 17) may be reviewed within a reasonable time with the participation of an Operator employee in the manner prescribed in Section 11.4.
12.4. Limitations on the reliability, accuracy, and applicability of the AI Agent's conclusions, including AVM, are defined in Sections 4.3–4.5. The User undertakes not to rely solely on information automatically generated by the AI Agent when making legally, financially, or otherwise materially significant decisions.
12.5. The Operator takes reasonable measures to mitigate the risk of the AI Agent providing misleading, discriminatory, or otherwise inappropriate information, including periodic quality control of responses. The User or another person who believes that the AI Agent's response is unreliable, misleading, or otherwise inappropriate has the right to notify the Operator via the email address specified in paragraph 11.5.
12.6. To implement the AI Agent's functionality, the Operator engages third-party providers of generative artificial intelligence technologies as data processors (Subprocessors) based on agreements concluded with them, in particular, the Google Gemini API (Google Cloud Infrastructure). In accordance with the provider's commercial terms of service and security policy: (a) the User's requests (including text prompts and uploaded files) are transmitted to the provider solely for the purpose of generating a response in real time and are not used by the provider to train or further train artificial intelligence models; (b) the data from the processor's requests and responses will not be retained by the provider for longer than necessary to technically generate the response and ensure service security (including short-term abuse monitoring), after which it will be deleted from transit memory.
The Operator does not transfer the User's personal data contained in their profile to the AI technology provider. However, such data may be transferred to the AI technology provider if the User voluntarily specifies it in the text of the request or includes it in attached files, including regardless of whether such provision complies with the requirements of paragraph 7.2 of these Terms.
13. Platform Availability and Changes to Functionality
13.1. The Operator makes reasonable efforts to ensure the continuous and stable operation of the Platform; however, it does not guarantee that the Platform will be available without interruptions, errors, or other technical failures.
13.2. The Operator reserves the right, without prior notice, to temporarily limit or suspend the operation of the Platform, in whole or in part, due to technical maintenance, updates, security, or for other justified reasons.
13.3. The Operator reserves the right to supplement, modify, limit, or terminate the provision of individual Platform functions or Services at any time for the purposes of Platform development, security, compliance with legal requirements, or for other justified reasons. Such changes shall not obligate the Operator to pay any compensation to Users, except as expressly provided in the Terms.
14. Limitation of Liability
14.1. The Operator shall not be liable for: (a) the accuracy, completeness, or currency of information obtained from Sources or generated by the AI Agent; (b) the content of information, advertisements, and other materials posted or provided by third parties, including Sources, Partners, and Users, as well as the actions or inactions of such persons; (c) transactions concluded between the User and third parties, and their consequences; (d) interruptions in the Platform's operation, technical failures, or unavailability of the Services.
14.2. The Operator shall not be liable for indirect damages, lost profits, data loss, damage to reputation, or other similar consequences arising in connection with the use or inability to use the Platform.
14.3. Nothing in this section excludes or limits the Operator's liability in cases where such exclusion or limitation is not permitted by applicable law of the Republic of Latvia, or liability for the Operator's intent or gross negligence.
14.4. With respect to Partners using the Platform for purposes related to their business or professional activities, the Operator's aggregate liability for all claims related to the use of the Platform shall not exceed the amount actually paid by such Partner to the Operator for the relevant Service during the last 12 (twelve) months preceding the event giving rise to the claim.
14.5. In relation to Users who are Consumers, the Operator's aggregate liability for all claims related to the use of the Platform is limited to the greater of the following amounts: (a) the amount actually paid by such User to the Operator for the relevant Service during the last 12 (twelve) months preceding the event that served as the basis for the claim, or (b) 100 (one hundred) euros if the User has not made such payment to the Operator.
15. Consumer Rights
15.1. This section applies to Users who are Consumers, in addition to other provisions of these Terms. Nothing in these Terms is intended to exclude, limit, or reduce the rights of a Consumer, which cannot be limited by agreement of the parties.
15.2. The Consumer has the right to cancel a distance contract within 14 (fourteen) days without giving reasons, unless otherwise provided by these Terms and applicable law. Registration of a paid service with immediate access is subject to the User's express consent in the payment interface, with the right to cancel the contract forfeited after the service has been fully rendered.
If the Consumer requests the Service to begin rendering before the expiration of the specified period, the Operator will obtain their prior express consent to begin rendering the Service immediately. If the Service is fully rendered after such consent has been received, the Consumer forfeits the right to cancel the contract, and the amount paid for such Service will not be refunded.
If the Consumer terminates the contract before the Service has been fully rendered during the period during which the right to terminate remains, the Operator shall return the amount paid, taking into account the cost of the portion of the Service actually rendered prior to the termination, if such payment is provided for by applicable law.
16. Fees and Paid Services
16.1. Certain Services on the Platform are provided on a fee basis, including certain features under the Partner Program specified in Section 9.3. Prior to placing an order, the User or Partner shall be provided with information about the selected paid Service, its total price in euros (EUR), including all applicable taxes and mandatory charges, the payment procedure, the provision period, and the terms of renewal or cancellation, if applicable.
16.2. Payment for paid Services shall be made using the methods available on the Platform. Before confirming payment, the User will be provided with information about the total price of the relevant Service, including applicable taxes and other mandatory payments, if any.
16.3. The Operator reserves the right to modify the fees for paid Services. The current fees for paid Services shall be published on the Platform and disclosed to the User or Partner prior to the placement of the relevant order. The updated fees shall apply to orders placed after the effective date of the respective fees change and shall not affect the fees for Services already paid for by the User or Partner. For Services subject to recurring payments, the new fees shall apply only following prior notice provided in accordance with applicable law and the terms of the relevant Service.
17. Suspension and Termination of Access
17.1. The Operator reserves the right to temporarily limit, suspend, or completely terminate the User's access to the Platform or individual Services, including without prior notice, in the event of: (a) the User's violation of these Terms, including the usage rules set forth in Section 7; (b) actions that create a risk to the security, stability, or normal functioning of the Platform, including abuse of the AI Agent functionality and circumvention of technical restrictions (rate limits); (c) the User providing false data during registration; (d) requirements of applicable law or a decision of a competent authority.
17.2. The grounds specified in paragraph 17.1 shall be applied by the Operator on an objective and non-discriminatory basis. With respect to Partners, the Operator reserves the right to suspend or terminate access to the Platform, as well as remove or block Content posted by them, in cases provided for by these Terms and applicable law. If the violation is not obvious, the Operator reserves the right to request clarification or additional information from the Partner before making the appropriate decision. In cases stipulated by applicable law, the Operator will provide the affected Partner with a justification for its decision. The Operator reserves the right to use automated means to detect, restrict, or block Content
17.3. The User has the right to terminate use of the Platform at any time and delete their account in accordance with the procedure set forth in Section 6.4.
17.4. Termination of access to the Platform does not relieve the User of liability for actions committed prior to termination of access and does not affect the validity of the provisions of these Terms that by their nature are intended to survive termination of access, in particular Sections 8, 9.4, 10, 14.4–14.5, 16, and 20.
18. Force Majeure
The Operator shall not be liable for any failure to perform or improper performance of its obligations under these Terms if such failure is caused by force majeure circumstances – events of an extraordinary nature beyond the Operator's reasonable control that the Operator could not reasonably foresee, prevent, or overcome. Force majeure circumstances also include global technical failures in backbone internet links, large-scale failures in cloud provider infrastructure, and unplanned termination/restriction of access or failures of third-party services and APIs beyond the Operator's reasonable control.
If such circumstances arise, the Operator will take all reasonable and available measures to restore the full functionality of the Services as quickly as possible.
19. Personal Data and Cookies
19.1. The processing of Users' personal data, including data collected during registration, use of the Services, and data contained in text requests (prompts) when interacting with the AI Agent, is carried out by the Operator as the data controller in strict accordance with Regulation (EU) 2016/679 (GDPR), the Personal Data Processing Law of the Republic of Latvia, and the Privacy Policy published on the Platform at https://estatebase.ai/policies/privacy-policy.

19.3. The Platform uses cookies and similar technologies to ensure the technical functioning of the Services (including authorization and saving of the dialogue session with the AI Agent), analytics, and marketing. The procedure for using cookies, the categories of cookies used, and the mechanisms for managing the User's consent are defined in the Cookie Policy, available on the Platform at https://estatebase.ai/policies/cookies-policy. Mandatory (technical) cookies are installed automatically to ensure the operation of the Platform, while analytical and marketing cookies are used only with the prior explicit consent of the User.
20. Final Provisions
20.1. The Operator reserves the right to amend or supplement these Terms at any time due to legal requirements, Platform development, security, or other reasons. The current version of the Terms is published on the Platform, indicating the effective date. The Operator will notify registered Users of any material changes by email or via a notification in the Platform interface no later than 14 (fourteen) days prior to the effective date of the changes. Continued use of the Platform after the effective date of the changes constitutes the User's consent to the updated version of the Terms. If the User does not agree to the changes, they must cease using the Platform before the effective date of the relevant changes and delete their account.
20.2. The Operator's failure to exercise or the untimely exercise of any right provided for in these Terms shall not be considered a waiver of such right.
20.3. If any provision of these Terms is found to be invalid, illegal, or unenforceable in whole or in part, this shall not affect the validity of the remaining provisions of the Terms. The relevant provision shall be applied to the maximum extent permitted by law, most closely reflecting the original intention of the parties.
20.4. The Operator has the right to transfer its rights and obligations under these Terms to a third party, in particular in connection with a reorganization, sale of a business, or transfer of assets, with notice to Users in the manner provided for in paragraph 20.1. The User may not transfer its rights and obligations under these Terms to third parties without the prior written consent of the Operator.
